This license agreement applies to the ELA app (hereby referred to as "Application") for mobile devices that was created by Standard Wesant (hereby referred to as "Service Provider") as a Free service. This service is intended for use "AS IS".
The Service Provider grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application strictly in accordance with the terms of this Agreement.
You agree not to, and you will not permit others to:
The Application, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of the Service Provider.
The Service Provider shall own any and all rights, title and interest in any technical data, techniques, know-how, processes, algorithms, software programs or other technology developed or derived by the Service Provider in the course of providing support or other services to you.
The Application may allow you to create, upload, share or store content ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content. However, by uploading User Content to the Application, you grant the Service Provider a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Application.
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Application, to understand our practices.
This Agreement shall remain in effect until terminated by you or the Service Provider.
The Service Provider may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from the Service Provider, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device or from your computer.
Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE SERVICE PROVIDER MAKES NO WARRANTY THAT THE APPLICATION WILL BE ERROR-FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SERVICE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE APPLICATION.
You agree to indemnify and hold harmless the Service Provider and its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Application, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations.
This Agreement shall be interpreted and governed by the laws of the jurisdiction in which the Service Provider operates, without regard to its conflict of law provisions.
The Service Provider reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, the Service Provider will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at the Service Provider's sole discretion.
By continuing to access or use the Application after those revisions become effective, you agree to be bound by the revised terms.
